ExecutionZ™ ("ExecutionZ", "we", "us", or "our") is an intelligence and execution advisory platform founded by Sivakumar Anirudhan and operated by VS Online Services Private Limited ("VSOS", "Company"), a company based in Chennai, Tamil Nadu, India.

These Terms & Conditions ("Terms", "Agreement") govern your access to and use of our website (executionz.com), our web application and diagnostic platform (app.executionz.com and related subdomains), and any advisory, consulting, coaching, or execution-support services we provide (together, the "Services").

1. Acceptance of Terms

You accept this Agreement by doing any of the following: checking a checkbox or clicking a button indicating acceptance, creating an account on our platform, making a payment for any Service, or simply accessing or using our website or Services. If you do not agree to these Terms, you must not access or use the website, platform, or any Service. If you are entering into this Agreement on behalf of a business or organization, you confirm that you have the authority to bind that entity.

2. Eligibility and Account Registration

• You must be at least 18 years old and have the authority to bind the business or organization you represent to use our platform or engage our Services.
• Where account registration is required (including sign-in via a third-party authentication provider), you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to notify us promptly of any unauthorized use of your account. We are not responsible for any loss or damage arising from unauthorized access to your account that occurs due to your own failure to safeguard your credentials.

3. Description of Services

ExecutionZ provides business diagnostics, structured assessments, AI-assisted analysis and recommendations, benchmarking, strategic advisory services, execution consulting, coaching, workshops, and related business transformation support. The specific scope, deliverables, and pricing of any paid engagement will be as described on our website, within the platform, or in a separate written agreement or invoice.

We may add, modify, suspend, or discontinue any feature, pricing tier, or aspect of the Services at any time, though we will make reasonable efforts to notify existing paying users of material changes affecting them.

4. Free Scan, Beta Features, and Trials

• Free Scan. We may offer a free, limited-scope diagnostic ("Free Scan") as an introduction to our platform. The Free Scan is provided at no charge, on an "as-is" basis, without any warranty as to its depth, accuracy, or completeness, and is intended to give you a preliminary view of your business only — it is not equivalent to, and should not be treated as a substitute for, a paid diagnosis or advisory engagement. We may limit the Free Scan to one per business or account, and reserve the right to modify, limit, or discontinue the Free Scan at any time without notice. Using the Free Scan does not obligate you to purchase any paid Service.
• Beta Features. From time to time we may make experimental or early-access features of our platform available for testing and feedback ("Beta Features"). Beta Features are provided "as-is", without warranty, dedicated support, or any service-level commitment, and are offered solely for evaluation. We have sole discretion to determine how long a Beta Feature remains available, and may modify, suspend, or discontinue it at any time, with or without notice. Access to a Beta Feature does not create any obligation on you to subscribe to a paid tier, nor any liability on us for its modification or discontinuation.
• Trials. If we offer a free trial of a paid tier, the trial will remain active for the stated trial period or until you upgrade to a paid subscription, whichever is earlier. Any data or diagnostic output generated during a trial may be lost at the end of the trial period unless you upgrade to the corresponding paid plan before it ends. Trials are provided "as-is", without warranty or liability, to the extent permitted by law, and we may end a trial early at our discretion.

6. Information Accuracy

You agree to provide complete, current, and accurate information when creating an account, submitting business or financial data, or otherwise engaging with the platform or our Services. If you provide information that is untrue, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect this, we may suspend or terminate your account and refuse current or future use of the Services. Outputs and recommendations we generate rely on the accuracy of the information you provide, and we are not responsible for outcomes resulting from incomplete, outdated, or inaccurate information submitted by you.

7. Fees, Payment, Renewal, and Refunds

• Fees for paid tiers, diagnostics, or advisory engagements are as displayed on our website or platform at the time of purchase, or as agreed in a separate written engagement.
• Payments are processed through authorized third-party payment gateways. By making a payment, you authorize the applicable charge.
• Where a Service is offered on a recurring or subscription basis, it will automatically renew at the end of each subscription period at the then-current fee unless you cancel prior to the renewal date. We recommend cancelling at least seven (7) days before your renewal date to avoid being charged for the next cycle.
• Applicable taxes (including GST) will be charged in addition to the stated fees, and an invoice in the prescribed format will be provided.
• Refunds and cancellations are governed by our separate Refund & Cancellation Policy, which forms part of these Terms.
• We reserve the right to change our pricing prospectively; any price increase will not apply until the expiry of your then-current billing cycle, and changes will not affect fees already paid for Services already delivered or in progress.

8. Intellectual Property

All diagnostic outputs, assessments, frameworks, methodologies, recommendations, platform content, software, trademarks (including ExecutionZ™), logos, and materials provided by ExecutionZ remain the intellectual property of ExecutionZ and/or VS Online Services Private Limited, unless otherwise agreed in writing.

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable license to use outputs generated for your business for your own internal business purposes. You may not reproduce, distribute, modify, publish, sell, sublicense, or commercially exploit any ExecutionZ content or output without our prior written permission. You agree not to display or use the ExecutionZ trademark or logo without our prior written permission.

9. Your Content and Data

You retain ownership of the business, financial, and other information you submit to us ("Your Content"). We do not use Your Content for our own commercial, marketing, or promotional purposes unless you specifically permit us to. By submitting Your Content, you grant ExecutionZ a limited license to access, process, and store it solely to provide the Services to you, including generating diagnostic outputs, in accordance with our Privacy Policy.

We may use anonymized or aggregated data derived from Your Content (stripped of information that could reasonably identify you or your business) for benchmarking, research, or product improvement purposes.

10. Restrictions on Use

In addition to all other terms of this Agreement, you shall not:

• Transfer the Services or make them available to any third party without our prior written permission;
• Attempt to reverse-engineer, decompile, or extract the underlying methodology, prompts, knowledge base, or source code of our platform;
• Attempt to gain unauthorized access to the platform or its related systems or networks;
• Use the platform in any manner that could damage, disable, overburden, or impair our servers, network, or systems, including by transmitting viruses, malicious code, or automated scraping tools;
• Submit information you do not have the right to share, or that infringes the rights of any third party, or that is unlawful, defamatory, harassing, obscene, or otherwise objectionable;
• Use the Services for any form of competitive analysis or benchmarking of the platform itself;
• Misrepresent your identity or authority to act on behalf of a business;
• Use the Services in any manner that violates applicable Indian law, or that threatens public order, or is intended to mislead or defraud any person or agency.

12. Disclaimer of Warranties

The Services and platform are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or completely secure. No advice or information, whether written or oral, obtained by you from ExecutionZ, its employees, or representatives shall create any warranty not expressly stated in this Agreement.

14. Indemnification

You agree to indemnify and hold harmless ExecutionZ, VS Online Services Private Limited, and their respective officers, employees, and advisors from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the platform or Services, or violation of any applicable law or third-party right.

15. Confidentiality

We treat business and financial information you submit as confidential in accordance with our Privacy Policy. You agree to keep confidential any non-public materials, frameworks, or methodologies shared with you as part of an advisory engagement, unless disclosure is authorized by us in writing.

16. Third-Party Services

The website and platform may contain links to, or integrate with, third-party websites or services (including payment processors, authentication providers, and AI service providers). Access to these third-party services may require you to accept their own terms and privacy policies, and you are responsible for reviewing those before use. ExecutionZ is not liable for any third-party service, and we may suspend, restrict, or remove access to any third-party integration at any time without liability to you.

17. Complaints

If we receive a complaint from a third party regarding your use of the platform or Services, we may forward the complaint to your registered email address. You agree to respond directly to such a complaint within a reasonable time and to keep us informed of the outcome where relevant.

18. Grievance Redressal

In accordance with applicable Indian law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Digital Personal Data Protection Act, 2023, the following Grievance Officer may be contacted for any grievance relating to these Terms or your use of the platform:

19. Suspension and Termination

We may suspend or terminate your access to the platform or Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or where required by law. If you believe your account was suspended or terminated in error, you may raise an objection by writing to us within thirty (30) days of being notified.

You may stop using the Services or close your account at any time. Where an active paid engagement is terminated by you due to a breach of this Agreement by us, you will be entitled to a prorated refund of any prepaid fees for the unused portion of that engagement. Certain obligations (including confidentiality, intellectual property, indemnification, and limitation of liability provisions) will survive termination.

20. Modification of Terms

We may modify this Agreement at any time by posting the updated Terms on our website with a revised "Last Updated" date. Where a change materially affects your rights, we will make reasonable efforts to notify existing paying users by email at least fifteen (15) days in advance. If you do not agree to a material change, you may discontinue use of the Services and, for any active prepaid engagement affected by the change, request a prorated refund of the unused portion. Continued use of the website or Services after a change takes effect constitutes acceptance of the revised Terms.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu.

22. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and Refund & Cancellation Policy, and any separate written engagement agreement, constitute the entire agreement between you and ExecutionZ regarding your use of the Services.
